Terms of Service

1. Scope and acceptance

These terms apply to services operated by TOHSAN Digital Solutions (“TOHSAN,” “we,” or “us”), including our website, Cello, and tenant workspaces. By using a service, you agree to these terms. If you use a service on behalf of an organization, you confirm that you are authorized to do so.

A signed client agreement, order, or service-specific terms may add to or replace these terms for that service. A separately operated client product may have its own terms. If there is a conflict, the more specific agreement governs for its subject matter.

2. Accounts and access

You must provide accurate information, protect your sign-in credentials, and use only accounts and tenant data you are authorized to access. An organization that manages a tenant controls its members’ access. Tell us promptly if you suspect unauthorized use. We may limit or suspend access to protect the service or comply with law.

3. Your content and responsibilities

You or the relevant client retain rights in content submitted to the service. You grant TOHSAN the permission needed to host, process, transmit, and display that content to provide the requested service under these terms and any applicable client agreement. You are responsible for having the rights and permissions needed to submit content, including personal information about others.

Do not use the service to break the law, infringe others’ rights, upload harmful code, interfere with service security, or attempt to access another tenant’s information.

4. Features and integrations

Features can vary by tenant and may change as services develop. Some features require a third-party account or separate authorization. When you connect one, that provider’s terms also apply. Cello’s Google Calendar integration is intended to provide calendar context when connected; it does not grant general authority to change calendar events.

AI-assisted content may be incomplete or incorrect. Review suggestions, drafts, and summaries before relying on or sharing them, especially for business, legal, financial, medical, or other consequential decisions.

5. Fees and client projects

Any paid scope, fees, payment schedule, deliverables, and support commitments are set out in the applicable proposal, order, or client agreement. Using a public page or requesting a discovery call does not itself create a paid engagement.

6. Availability and changes

We work to keep services available and secure, but availability may be affected by maintenance, outages, integrations, or events outside our control. We may update features and these terms. Material changes will be communicated as required by law or an applicable client agreement. The date above shows the current version.

7. Suspension and ending use

You may stop using the service at any time. We or a tenant administrator may suspend or end access for a breach of these terms, a security concern, a legal requirement, or the end of a client arrangement. Data handling after termination follows the applicable agreement and our Privacy Policy. You can request account deletion through the process described there.

8. Disclaimers and liability

Except for commitments expressly made in a separate agreement and to the extent permitted by law, services are provided as available without a guarantee of uninterrupted operation or a particular result. Nothing in these terms excludes liability that cannot lawfully be excluded, or limits any non-waivable rights you have under applicable law.

9. Governing law and contact
